By accessing or using the It's Your Cloud website and services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

It's Your Cloud provides IT infrastructure and cloud solutions including but not limited to:

• IT infrastructure design and management
• Datacenter services
• Cloud computing solutions
• Virtualization services (Nutanix, VMware, Azure)
• Backup and disaster recovery solutions
• Security and compliance services
• Network management
• Incident management and support

3. User Responsibilities

3.1 Account Information

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

3.2 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Transmit viruses, malware, or other malicious code
• Engage in any activity that could harm It's Your Cloud or its users

4. Service Level and Availability

While we strive to maintain high availability and performance, we do not guarantee uninterrupted access to our Services. Maintenance, updates, and unforeseen circumstances may result in temporary service interruptions.

5. Intellectual Property Rights

5.1 Our Content

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are owned by It's Your Cloud and are protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you provide to us. By submitting content, you grant us a license to use, reproduce, and display it as necessary to provide our Services.

6. Payment Terms

If you purchase services from It's Your Cloud:

• Payment terms will be specified in your service agreement
• All fees are exclusive of applicable taxes unless stated otherwise
• Late payments may result in service suspension
• Refund policies are outlined in your service agreement

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of Services, except as required by law or with prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, It's Your Cloud shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or delays
• Unauthorized access to or alteration of your data

Our total liability shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless It's Your Cloud from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.

10. Data Protection and Privacy

We are committed to protecting your privacy. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Third-Party Services

Our Services may integrate with or include third-party services. We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is subject to their respective terms and conditions.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting an updated version with a new "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which It's Your Cloud operates, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the courts having jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and It's Your Cloud regarding the use of our Services.
